1. Acceptance of Terms

By accessing, browsing, downloading, installing, or using any WickLabs product, service, indicator, website, or related content (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”) in their entirety. If you do not agree to all of these Terms, you must immediately cease all use of the Service and uninstall any WickLabs software from your systems.

Your continued use of the Service constitutes ongoing acceptance of these Terms, including any future amendments. WickLabs reserves the right to modify these Terms at any time. It is your responsibility to review these Terms periodically. Material changes will be posted on this page with an updated “Last Updated” date.

2. Intellectual Property Rights

WickLabs and its original content, features, and functionality (including but not limited to all software, indicators, algorithms, source code, designs, and logic) are and will remain the exclusive property of WickLabs and its licensors.

UNAUTHORIZED USE, COPYING, OR DISTRIBUTION OF OUR PROPRIETARY ALGORITHMS OR SOURCE CODE IS STRICTLY PROHIBITED AND WILL BE PROSECUTED TO THE FULLEST EXTENT OF THE LAW.

3. No Financial or Investment Advice

WickLabs is not a registered investment advisor, broker-dealer, financial analyst, or financial planner. The Service, including all indicators, software, tools, documentation, blog posts, and any other content, is provided for educational and informational purposes only. Nothing provided by WickLabs constitutes, or should be construed as, financial advice, investment advice, trading advice, or any recommendation to buy, sell, or hold any financial instrument.

Any trading decisions you make are entirely your own. You acknowledge that trading futures, options, equities, and other financial instruments involves substantial risk of loss and is not suitable for all investors. An investor could potentially lose all or more than the initial investment. Past performance of any indicator, software, or strategy is not indicative of future results.

You agree that WickLabs shall have no liability whatsoever for any trading losses, missed opportunities, or financial decisions you make based on the use of, or reliance on, any WickLabs product or content.

4. Software License & Restrictions

When you purchase a WickLabs indicator, you are granted a non-exclusive, non-transferable, revocable license for personal use only.

  • Individual Use Only: Licensing is tied to a single user. Group sharing is strictly forbidden.
  • Machine Limit: Each license is limited to a maximum of two (2) machine activations at any given time.
  • Prohibited Conduct: You shall not reproduce, redistribute, sublicense, sell, rent, lease, or otherwise transfer the software to any third party.
  • No Modification: You may not reverse engineer, decompile, de-obfuscate, or disassemble the software.
  • No Commercial Exploitation: You may not use our signals or indicators to provide a commercial signal service or similar advisory product without explicit written consent.

5. Anti-Piracy & Monitoring

To protect our intellectual property, our software includes technological measures (Digital Rights Management) to prevent unauthorized use.

The software performs periodic “heartbeat” checks to verify license validity. This process transmits your machine fingerprint and email to our secure servers. Any attempt to bypass, disable, or modify these licensing checks will result in immediate and permanent license revocation without refund.

6. Refund Policy

WickLabs maintains a strict no-refund policy. We provide comprehensive 7-day free trials for our indicators to ensure products meet your needs before purchase. By completing a purchase, you acknowledge that you have had the opportunity to test the software and agree that all sales are final.

7. Disclaimer of Warranties

THE SERVICE AND ALL WICKLABS SOFTWARE, INDICATORS, TOOLS, AND CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WICKLABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND COMPLETENESS.

WICKLABS DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE; (C) THE SOFTWARE WILL BE COMPATIBLE WITH ALL SYSTEMS, HARDWARE CONFIGURATIONS, OR THIRD-PARTY PLATFORMS INCLUDING NINJATRADER; OR (D) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. INDICATOR OUTPUTS, SIGNALS, LEVELS, AND CALCULATIONS ARE FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS THE SOLE BASIS FOR ANY TRADING DECISION.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WICKLABS, ITS OWNER, DEVELOPER, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION: LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, TRADING LOSSES, BUSINESS INTERRUPTION, SYSTEM FAILURES, PLATFORM CRASHES, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICE;
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
  • ANY BUG, DEFECT, ERROR, CRASH, OR MALFUNCTION IN THE SOFTWARE;
  • ANY INTERACTION BETWEEN THE SOFTWARE AND NINJATRADER OR ANY OTHER THIRD-PARTY PLATFORM;
  • ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA;
  • ANY TRADING DECISIONS MADE BASED ON THE SERVICE;
  • ANY OTHER MATTER RELATING TO THE SERVICE.

IN NO EVENT SHALL WICKLABS' TOTAL, AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO WICKLABS FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM. THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF WICKLABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Indemnification

You agree to defend, indemnify, and hold harmless WickLabs, its owner, developer, officers, employees, contractors, agents, and affiliates from and against any and all claims, demands, actions, damages, obligations, losses, liabilities, costs, or debt and expenses (including but not limited to attorney's fees, court costs, and settlement amounts) arising out of or relating to:

  • Your access to and use of the Service;
  • Any trading decisions, financial losses, or investment outcomes resulting from your use of the Service;
  • Your breach of any provision of these Terms;
  • Your violation of any applicable law, regulation, or rule;
  • Any misrepresentation of trading results, performance, or outcomes associated with the Service;
  • Any claim by a third party arising from or related to your use of the Service;
  • Any claim brought against WickLabs by any platform, marketplace, or distributor (including NinjaTrader Group, LLC) arising from your use of the Service.

This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Service.

10. Third-Party Platforms & Services

WickLabs products are designed to operate within the NinjaTrader® platform. NinjaTrader® is a registered trademark of NinjaTrader Group, LLC. No NinjaTrader company has any affiliation with WickLabs, or any interest, ownership or otherwise, in any WickLabs product or service, or endorses, recommends, or approves any WickLabs product or service.

WickLabs is an independent third-party developer. Payment processing is handled by third-party merchants of record (including Whop.com, Gumroad, and their respective payment processors). WickLabs is not responsible for and disclaims all liability relating to the acts, omissions, policies, outages, data practices, or terms of service of any third-party platform, payment processor, or marketplace.

WickLabs does not guarantee compatibility with current or future versions of NinjaTrader or any other third-party platform. Software updates, changes, or discontinuation of third-party platforms may affect the functionality of WickLabs products without notice.

11. Dispute Resolution & Governing Law

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiation between the parties for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, it shall be submitted to the exclusive jurisdiction of the courts located in Bucharest, Romania.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST WICKLABS.

12. Termination & Suspension

WickLabs reserves the right, in its sole discretion, to terminate, suspend, or restrict your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your license to use WickLabs software is immediately revoked.

The following sections shall survive any termination of these Terms: Intellectual Property Rights, No Financial or Investment Advice, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and any other provisions which by their nature should survive.

13. Force Majeure

WickLabs shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond WickLabs' reasonable control, including but not limited to: acts of God, natural disasters, pandemics, war, terrorism, government actions, power failures, internet outages, third-party platform outages (including NinjaTrader), cyberattacks, or any other force majeure event.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall remain in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy and Disclosures, constitute the entire agreement between you and WickLabs regarding the Service and supersede all prior agreements, representations, warranties, and understandings, whether written, oral, or implied.
